The Boulder Business Advisor has a general overview of the three main types of business structures and the factors that go into making a decision about which entity to choose for your startup business. It's important to get tax advice when deciding what entity is best for you. Another critical question, as mentioned in the post by Mike Laszlo, is whether you plan to take venture capital. Generally, you will want a C corporation if you plan to take venture capital.      I was busy reading an article on Why Lawyers Don't Run Startups (And Why Entrepreneurs Hate Lawyers) when I ran across a terrific lesson learned from the article's author, Steve Blank.  In every company that gives you a contract there's someone who wants a deal. When you run into contract issues, call them first for advice. In my experience, this is SO true. I'll often review and negotiate contracts for clients. Often, there are terms that are unacceptable and put the client at considerable risk if they were to give in on the terms. I'll always ask them to go back to the person who…
  • Employee Wage Misclassification Should Be Taken Seriously

    11 Apr 2012 | 11:37 am
Last December I wrote about how an employee wage misclassification case cost Oracle $35 million. The question about whether an employee is exempt v. non-exempt is often misunderstood by employers. Often, employers want to avoid paying overtime to employees.  So employers will play a game of Russian roulette by paying those workers a salary instead of hourly.  Have you reviewed your employee wage classifications recently? If not, we recommend that you do so. We have found in our reviews that employers large and small often make mistakes in classifying the wages of their workers.

Now, taking that company and turning it into a profitable, cash-strong company is an entirely different feat altogether. Now, the unfortunate truth is that most companies fail in between these two periods. It is common knowledge that nearly 70% of companies will fail during the first three years of operations. This begs the…

Time and again I am reminded of the critical importance of the FDD preparation "process" and why the quality of the FDD preparation "process" will substantively impact the quality of your eventual franchise system.      What do I mean by the FDD preparation "process".  Basically, I am referring to the methods and communications by which you either, individually, or with your management team will be working with your franchise lawyer respecting the preparation of your Franchise Disclosure Documents.  Franchise systems must evolve…

This morning, in speaking with a client regarding the development of her franchise system (a system based on a well tested and unique service and business model) we discussed “what the right franchise term should be, i.e., 5 years, 7 years or 10 years”. The answer to this question is one that must be unique to the franchise opportunity and one that is focused on the franchisee and the franchisee’s potential return on his or her investment. That is, “what is a fair franchise term that will permit a franchisee to generate a solid return on his or her franchise…
  • FDD Trademark Disclosures: What Disclosure is Required When Your USPTO Trademark Application is Rejected

    Charles Internicola
    12 Apr 2012 | 7:43 am
A core component to Franchising is the inherent trademark license granted from franchisor to franchisee. In a “perfect IP world” the franchisor’s principal trademarks are registered with the USPTO and FDD Item 13 discloses the registration information. Since nothing is ever perfect, many times, franchisors will fail to obtain registration of their primary marks. There are many reasons for a USPTO registration denial, including, the claimed mark being “descriptive” or “confusingly similar” to an existing mark that previously obtained registration.

Time and again when working on a franchise project - preparing the FDD and establishing the structure for a client's franchise system - I am always reminded of one critical fact:  That when it comes to franchising, every business is different.  Quite frankly, if there is nothing unique about your business, what you offer clients and how you deliver what you promise then, you should not be looking to franchise your business. However, if you can identify the unique factors and advantages associated with your business and what you offer, it is critical that you consult and work closely…

There seems to be a lot of confusion amongst early-stage business owners concerning use of the various trademark symbols (TM, SM, and (R)). This article addresses when to use which symbols, and when not to use any of the symbols at all. Trademarks First and foremost, it is important to clarify that these are in fact trademark-related symbols, and thus they should be used only in connection with your business’s trademarks. Thus, for example, it is improper to write “Benjamin’s Buttons℠, Inc.”, because in the context of an official company name, there aren’t any…

Think about the last time you hired a plumber or an auto mechanic, or a lawyer for that matter. Without asking, you probably knew  that the person you hired owed you a legal duty to perform the job in a competent manner consistent with the standards of his or her profession. The same is true when you bought a new car or built a new house. You rightly expected that the seller would stand behind its responsibility. Buying a franchise is usually a very large investment for most folks. It would seem logical, then, that when you buy a franchise, particularly one from an established brand, that…
